Oh it is known issue :

HowTo install NethServer on ProxMox OpenVZ container

So mini HOW-TO install on ProxMox OpenVZ container : First of all download ProxMox template http://download.openvz.org/template/precreated/centos-6-x86_64.tar.gz put in into Template dir /vz/template/cache , do not unpack! Then create CT in ProxMox using this template.
